Rakuten for Business Terms and Conditions

Article 1 (General Rules)

  1. These Terms and Conditions are made between the Rakuten Group (comprised of Rakuten Group, Inc. and its subsidiaries and affiliates, hereinafter individually or collectively referred to as “Rakuten Group”) and Business partners (as defined in Article 2, Item 1. Hereinafter, the Business partner, which is the party of the contract under these Terms and Conditions, is referred to as “Client”) to establish a contractual relationship regarding the use of Rakuten for Business (defined in Article 2 Item 2).
  2. For matters that are not stipulated in these Terms and Conditions, transaction agreements (including Terms, Manuals, Rules, Guidelines, etc. on Target Services. “Original agreement”) concerning Target Services (as defined in Article 2, Item 3) made separately between Rakuten Group and Client shall apply.
  3. Client agrees to comply with any manuals, rules, guidelines, etc. established by the Rakuten Group regarding the use of Rakuten for Business in addition to these Terms and Conditions and the Original agreement (collectively referred to as "Terms").

Article 2 (Definitions)

In these Terms and Conditions, the following terms shall have the following meanings:

  1. “Business partner” means a business operator who is authorized to access a server managed by Rakuten Group and use the system on the server based on the Original agreement.
  2. “Rakuten for Business” means an authentication and authorization system for businesses that is provided by Rakuten Group to Client for the Target service. It can provide access authentication to servers managed by Rakuten Group and account management by business partners. It has functions such as use log management and permission management.
  3. “Target service” means a service designated by Rakuten Group as a target of Rakuten for Business.
  4. “Administrator” means a representative of Client or a representative who has been granted a proxy right for the execution of transactions with Rakuten Group related to the target service, who is appointed by Client and registered by the method prescribed by Rakuten Group as a person who has management responsibility for the use of Rakuten for Business by Client.
  5. “Staff” means a member who is authorized by Client to use Rakuten for Business and is registered by the method prescribed by Rakuten Group among the officers and employees of Client and other persons under the control of Client. It should be noted that the Administrator can concurrently serve as Staff.

Article 3 (Application)

  1. After accepting these Terms and Conditions, Client shall apply for the use of Rakuten for Business according to the method prescribed by Rakuten Group. In addition, when the information submitted or registered by Client is changed, the change registration shall be performed according to the method prescribed by Rakuten Group.
  2. If Rakuten Group determines that it is necessary for the management of the target service or Rakuten for Business, the Client, the Administrator and the Staff agree in advance that Rakuten Group will be able to access and view data captured in Rakuten for Business (by the Administrator and the Staff) including, but not limited to, access logs to servers managed by Rakuten Group.

Article 4 (License etc.)

  1. Rakuten Group grants the Administrator and Staff the non-exclusive use of Rakuten for Business to the extent necessary for the target service.
  2. All patent rights, trademark rights, copyrights and other rights relating to Rakuten for Business belong to Rakuten Group. However, Rakuten Group does not guarantee that Rakuten for Business or its use will not infringe on the rights of third parties.
  3. Rakuten Group can freely add, update and change the specifications of Rakuten for Business at its discretion.
  4. Client shall procure the hardware, software, network, and other facilities necessary for using Rakuten for Business at its own responsibility and expense.

Article 5 (User Registration)

  1. If an Administrator or Staff uses their own Rakuten ID to use Rakuten for Business, on top of having already accepted the “Rakuten Membership Rules” and creating an account, they must also accept these Terms and Conditions before doing so. If an Administrator or Staff does not use their own Rakuten ID to use Rakuten for Business, they only need to accept this agreement before doing so.
  2. Before starting the use of Rakuten for Business, the Administrator will access Rakuten for Business using the invitation URL sent by Rakuten Group, their own Rakuten ID and other necessary information issued/notified by Rakuten Group and shall perform prescribed initial registration for Client.
  3. In order for the Staff to use Rakuten for Business, the Administrator shall perform Staff registration for each Staff member, after completing the registration by the Administrator in the preceding paragraph. It should be noted that the Administrator can allow the Staff to perform a procedure necessary for completing the initial registration.
  4. In the event that there are changes in the registered matters relating to Client (including changes related to Administrators and Staff), the Administrator shall immediately perform the prescribed change registration.

Article 6 (Responsibility of Client, Administrator and Staff)

  1. Client will be obligated to ensure that the Administrators and Staff are made aware of the Terms and is responsible for all actions (including liability for damages) of the Administrators and Staff regarding the use of Rakuten for Business.
  2. The Administrator and the Staff understand the contents of the Terms and consent to use Rakuten for Business according to the Terms.
  3. Administrators and Staff agree in advance that Rakuten Group can use their Rakuten ID used in Rakuten for Business, registration information, Rakuten for Business usage history, and other information related to Rakuten for Business usage for the identification of the users, usage dates, and usage status of the target service, ensuring information security regarding the target service, providing other target services and other all purposes deemed by Rakuten Group necessary for using Rakuten for Business.
  4. The Administrator shall be responsible for registering other Administrators and Staff with Rakuten for Business, managing Administrator and Staff authority regarding the use of Rakuten for Business, managing usage logs, and other uses of Rakuten for Business.
  5. Notwithstanding the provisions in Article 10-1 of the “Rakuten Membership Rules”, Administrators and Staff must not delete the Rakuten ID registered in Rakuten for Business by deleting or using other methods without the prior consent of Client.
  6. The Administrator and Staff shall use Rakuten for Business in accordance with a legitimate operation method approved by Rakuten Group within the set authority.
  7. When the Administrator and the Staff leave the positions of the Administrator and the Staff, the Administrator and the Staff must immediately stop using Rakuten for Business.

Article 7 (ID, password)

  1. The Administrator and Staff shall manage the IDs issued/notified by Rakuten Group and their registered Rakuten IDs and their passwords (including authentication codes) so that they are not known to third parties. Measures to prevent these IDs and passwords from being stolen, such as changing passwords, are the responsibilities of the Administrator and Staff.
  2. The Administrator and Staff members must not share their Rakuten ID with other Staff members or other third parties.
  3. If Rakuten Group confirms that the ID and password used at the time of authentication match the ID and password registered as having genuine access authority, Rakuten Group deemed the accessor as having genuine access authority even if it is used by a person who does not have genuine access authority due to theft, unauthorized use or other circumstances, and Rakuten Group has no responsibility even if it causes damage or disadvantage to Client.

Article 8 (Confidentiality)

  1. Rakuten Group and Client must not disclose or leak the confidential information of the other party obtained through the implementation of the Terms, etc. to a third party, and may not use it for the purposes other than the purposes of the Terms, etc. Provided, however, that this shall not apply to cases where disclosure is required in accordance with laws and regulations by judicial organizations, administrative organizations or similar organizations.
  2. Client, Administrator and Staff agree that the Rakuten for Business mechanism, the usage history of Rakuten for Business by the Administrators and Staff, and the accompanying information and other information related to Rakuten for Business are highly confidential assets of Rakuten Group and shall treat them carefully as confidential information.
  3. The provisions of the preceding two paragraphs are valid for three years after the termination of the Original agreement.

Article 9 (Responsibility)

When damages (including the costs of lawyers and the money or points provided to Rakuten Group customers as an apology) have occurred to Rakuten Group in connection with the use of Rakuten for Business by the Administrator or Staff, Client shall be responsible for all compensation.

Article 10 (Rakuten for Business usage suspension and termination)

  1. If Rakuten Group determines that it is necessary to suspend or terminate the use of Rakuten for Business due to technical reasons such as maintenance of Rakuten for Business, response to failure, force majeure such as natural disasters, and other operational reasons, Rakuten Group may suspend and terminate the service without prior notice.
  2. Rakuten Group shall not be liable for any damages or disadvantages caused by the suspension or the termination of Rakuten for Business usage in the preceding paragraph.

Article 11 (Disclaimer)

  1. Rakuten Group shall not be liable for any damages or disadvantages caused by the failure or malfunction of Rakuten for Business.
  2. If Rakuten Group determined that the provision of the target service is hindered due to a failure of Rakuten for Business, etc., Rakuten Group can take measures necessary to prevent confusion.

Article 12 (Validity Period)

The contractual relationship between Client and Rakuten Group based on these Terms and Conditions shall remain valid until the end of the Original agreement.

Article 13 (Changes to these Terms and Conditions)

Rakuten Group shall be able to revise the Terms and Conditions without notifying Client in advance, and after revision of the Terms and Conditions, the revised Terms and Conditions shall be applied. If Client uses Rakuten for Business after the revision of the Terms and Conditions, it shall be deemed that the Terms and Conditions has been accepted.

Article 14 (Governing Law, Jurisdiction)

The Terms and Conditions shall be governed by and interpreted in accordance with the laws of Japan. In the event of any disputes arising out of the Terms and Conditions the Tokyo District Court or the Tokyo Summary Court shall have the exclusive jurisdiction over the first instance.
